Terms of Service

By accessing or using StateLayer ("Service"), operated by Foundry AI Partners ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

StateLayer is a persistent memory platform for AI agents. The Service provides storage, retrieval, and visualization of agent memory artifacts including semantic memories, episodic session data, procedural skills, handoff notes, and knowledge documents. The Service is accessed via a web interface and API.

To use the Service, you must create an account using a valid email address. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Store or transmit malicious code, viruses, or harmful data
• Infringe on the intellectual property rights of others
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to the Service or its infrastructure
• Use the Service to build a competing product without our written consent
• Scrape, crawl, or extract data from the Service in bulk without authorization
• Circumvent rate limits, usage quotas, or access controls

We reserve the right to suspend or terminate accounts that violate these terms.

You retain ownership of all data you submit to the Service ("Your Data"). By submitting data, you grant us a limited, non-exclusive license to store, process, and retrieve Your Data solely for the purpose of providing the Service to you.

We do not claim ownership of Your Data. We do not use Your Data to train AI models without your explicit written consent. You are responsible for ensuring that Your Data does not violate any third-party rights or applicable laws.

The Service, including its software, design, and content (excluding Your Data), is owned by Foundry AI Partners and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

The StateLayer name, logo, and brand are trademarks of Foundry AI Partners. You may not use our trademarks without our prior written permission.

Access to the StateLayer API is subject to rate limits and usage quotas defined by your subscription tier. We reserve the right to throttle or suspend API access for accounts that exceed their quotas or use the API in ways that degrade service for other users.

API keys are confidential. You are responsible for keeping your API keys secure and for all API calls made with your keys.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated outputs may contain errors or inaccuracies — you are responsible for validating any outputs before relying on them.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDRY AI PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Foundry AI Partners and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, Your Data, or your violation of these Terms.

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately.

You may delete your account at any time. Upon account deletion, your data will be removed from our active systems within 30 days, subject to legal retention requirements.

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Santa Clara County, California.
